Mike Ohrnstein, MANAGING Director

Mike joined J. Wood Capital Advisors in April 2026, where he partners with the team to advise clients on the accounting and financial reporting implications of complex capital markets transactions, including convertible securities, derivatives, debt offerings, and share repurchase structures.

Prior to joining J. Wood Capital Advisors, Mike spent nearly two decades at EY's Financial Accounting Advisory Services practice, where he led a dedicated team of subject-matter advisors serving public and private clients across all industries. His areas of expertise included equity-linked securities and derivatives, debt and equity offerings and restructurings, and foreign currency and interest rate hedging programs. In this role, he supported clients across advisory, audit, and transaction diligence engagements, giving him a breadth of perspective on how complex transactions translate into financial reporting outcomes that few advisors can match.

Mike earned degrees in Economics and Political Science from the University of California, Santa Barbara. He is a Certified Public Accountant in North Carolina and holds inactive CPA licenses in California and New York.

Transaction experience: Mike has served hundreds of clients across all stages and industries, ranging from venture capital–backed life sciences companies to large-cap hyperscalers and global investment banks, advising on transactions spanning convertible debt issuances, liability management exercises, structured products, hedging programs, and debt and equity offerings. His background brings a dimension to JWCA's advisory capabilities that is directly complementary to the firm's core capital markets work, helping clients understand not just how to execute a transaction, but what it means for their financial statements.
