In July 2026, JWCA advised Omeros (the “Company”) on two privately negotiated cash repurchases of an aggregate $30.5 million of its outstanding Convertible Senior Notes due 2029

Omeros' objectives included:

  • Reduce leverage and potential dilution: opportunistically repurchase and retire a portion of the notes while decreasing future cash interest expense

  • Minimize transaction costs: execute the repurchases efficiently and with minimal friction

JWCA acted as Repurchase Agent and:

  • Advised on noteholder targeting and strategy

  • Led noteholder outreach, negotiations, and transaction execution

  • Analyzed convertible economics and pricing dynamics

Results

Omeros completed two successful cash repurchases of its 9.50% Convertible Senior Notes due 2029:

  • Repurchased and retired $30.5 million aggregate principal amount, inclusive of accrued and unpaid interest and other obligations

  • Reduced the outstanding principal amount by 43.1%, from $70.8 million to $40.3 million

  • Eliminated 4.9 million shares underlying the repurchased notes at an average price of $10.47/share and $8.5 million of scheduled cash interest payments through maturity
