Capital Structure Planning

We work closely with management in identifying a company's unique circumstances to develop a capital structure plan that best suits its objectives.  This includes consideration of key company milestones, financial inflection points, and business catalysts. Once we have an understanding of a company’s near-term and long-term business and financing objectives, we work with management to identify the appropriate markets from which to raise capital.

TRANSACTION EXECUTION

Once we have a financing roadmap developed, we help the company to execute against that roadmap. We lead and manage the outreach process with appropriate investors based on the company’s unique profile and needs. We drive a competitive dynamic between investors in order to obtain the best pricing and structural considerations. We develop analysis to help the company to compare and contrast the specifics of the various financing proposals and to select the proposal that best fits with its objectives. After a proposal has been selected, we guide the negotiation and execution of transaction documentation and represent the interests of the company, in order to optimize pricing and terms. Post-closing, we remain available to advise and assist, as needed.
